Collaboration Agreement
Between webe kälm LLC and Collaborators
This Collaboration Agreement (the "Agreement") is entered into by and between webe kälm LLC, a Nevada limited liability company with its principal place of business in Nevada ("webe kälm"), and the individual completing the online application to participate in the webe kälm Influencer Marketing Program (the "Collaborator"). By clicking the "Submit" button on the online application, the Collaborator acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
1. Purpose of the Agreement
This Agreement establishes the terms and conditions under which the Collaborator will create and share content promoting the "webe kälm" product (the "Product") as part of webe kälm’s influencer marketing program.
2. Eligibility and Product Distribution
a. Collaborators must be at least 18 years old to participate.
b. Upon acceptance into the program, webe kälm will provide the Collaborator with two (2) free "webe kälm" devices.
3. Content Creation and Submission Requirements
a. The Collaborator agrees to create content featuring themselves and/or their children (as appropriate) using the Product.
b. Content must include a post on the Collaborator's social media platform(s) (e.g., Instagram, TikTok, Facebook) with the following requirements:
- The post must tag webe kälm’s official social media account(s).
- The post must include any hashtags or captions specified by webe kälm.
c. The Collaborator must upload the created content, along with a direct link to their social media post, to the designated collaborator webpage provided by webe kälm.
4. Compensation
a. Upon successful completion of the content requirements outlined in Section 3, webe kälm will provide the Collaborator with a $25 Target gift card.
b. The gift card will only be issued if all requirements, including tagging and content upload, are fulfilled to webe kälm’s satisfaction.
5. License and Release
a. The Collaborator grants webe kälm a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, distribute, and modify the submitted content for marketing and promotional purposes in any media.
b. The Collaborator represents and warrants that they have all necessary rights and permissions to include themselves and/or their children in the content and to grant the above license.
c. The Collaborator agrees to release and hold harmless webe kälm from any and all claims, demands, or liabilities arising from the use of the submitted content.
6. Compliance and Conduct
a. The Collaborator agrees to comply with all applicable laws, regulations, and social media platform guidelines when creating and sharing content.
b. Content must be family-friendly and align with the values of webe kälm.
7. Indemnification
The Collaborator agrees to indemnify and hold harmless webe kälm, its officers, employees, and agents from any claims, damages, or liabilities arising from the Collaborator’s breach of this Agreement, including but not limited to intellectual property infringement or failure to obtain necessary permissions.
8. Termination
webe kälm reserves the right to terminate this Agreement at any time if the Collaborator fails to meet the content requirements or breaches any terms of this Agreement.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior agreements, discussions, or understandings.
11. Electronic Consent
By clicking "Submit" on the online application, the Collaborator consents to the terms of this Agreement and agrees that this electronic consent constitutes a legally binding signature.
